JERA Co., Inc. (“JERA”) announces that its Board of Directors has today determined its candidate for Director positions for which approval will be sought at the 11th Ordinary General Shareholders’ Meeting scheduled for late June 2026.

1.    Directors and Corporate Auditors
(1)    Candidates for Director (to be resolved at the 11th Ordinary General Shareholders’ Meeting scheduled for late June 2026)

Representative Directors under Japanese law will be determined at the Board of Directors meeting following the conclusion of the 11th Ordinary General Shareholders’ Meeting scheduled for late June 2026. Mr. Kani and Mr. Okuda have been nominated to be appointed as representative directors.
*1 The term “Outside Director” refers to an outside director as defined in Article 2, Item 15 of the Companies Act, and the term “Independent Outside Director” refers to an outside director who satisfies JERA’s independence criteria.

(2)    Corporate Auditors（Mr. Kimura and Mr. Onodera are continuing. The candidate Mr. Hideo Oishi is to be resolved at the 11th Ordinary General Shareholders’ Meeting scheduled for late June 2026)
